Affiliate Agreement
BASICS
We grant you a non-exclusive, revocable right to use our website banners for the purpose of identifying your site as a program participant and for linking to our site. You may not modify the banners or any of our images in any way without our permission.
We reserve all of our rights to our trade names and trademarks and all other intellectual property rights.
Only direct sales made on our http://voiceoveressentials.com website are qualified for affiliate commissions. Sales made through other payment channels such as Amazon.com® are not included.
ORDER PROCESSING
We are solely responsible for processing orders for our products. Your clients will use our secure online ordering process. Payment processing, shipping, cancellations, returns, and related customer services are our responsibility. You cannot make or accept any offer on our behalf.
TRACKING SALES
We are solely responsible for tracking sales made to customers who follow links from your website.
Statements of your sales activity available on request.
LINKS
We will provide you with a unique identifying URL for you to link to. Each sale or referral that is generated from this URL will be attributed to you. The links to your URL can be text or banner links, or a combination of the two. If you choose banner links, you must use our banners from our website.
We will provide you with instructions on how to properly format the links but you will need to make sure the links are formatted correctly to ensure accurate tracking of sales for credit to your account.
Wordsworth Inc. shall have no liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or the program. Wordsworth Inc'.s aggregate liability arising under or with respect to this agreement or the program shall in no event exceed total referral fees paid or payable to the affiliate under this agreement.
COMMISSION AND PAYMENT
We will pay you 10% of any and all qualifying purchases made within 30 days by a customer referred by your "affiliate link" through banner or text links (Not including any applicable sales tax and shipping charges) or any personal referral made to us resulting in a sale. Qualifying purchases do NOT include items from our "Other Recommended Products" page or any sales made from other payment channels such as Amazon.com.
You can also order our products for your PERSONAL USE through your affiliate link providing you with a 10% discount but no additional commission is paid on these sales.
Payments are made either by check to you or your corporation, within ten days of the first of the month for all sales in which thirty days have elapsed from the time of the sale to allow time for returns and refunds.
Any refunds to a customer - referred through your affiliate link - will be deducted from your commission payment.
INCOME TAX LIABILITY
You understand and agree that you are acting as an independent contractor and are responsible for your own Income taxes and any other tax liabilities that affect the sales of our products in your state. By law, any commissions in excess of five hundred ninety nine ($599) dollars paid to an individual or sole proprietor must be reported by us to the IRS on form 1099 MISC.
Therefore, at such time as you approach $599 in paid commissions you will be required to send us a completed and signed form W-9 'Request for Taxpayer Identification Number and Certification'. We will notify you when you approach this amount and provide the W-9 form on line for your convenience. This form must be signed and returned to us before any commission payments beyond $599 can be made to you.
MODIFICATION
We may modify any of the terms and conditions contained in this Agreement, at any time posting a new agreement on our site. Any modifications will also be sent by email, to all participating affiliates. If any modification is unacceptable to you, you may terminate this agreement otherwise your continued participation in the program following notification of a modification constitutes binding acceptance of the change.
RELATIONSHIP OF PARTIES
Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. Either party may terminate this agreement for any reason.
CONFLICTS AND DISPUTES
As with any program, a conflict or dispute may occasionally arise due to tracking, orders, commission calculation, etc. If a concern should arise, send an email stating your full name or corporation name, your affiliate ID, and your address and state the specifics of your concern. Include any dates or numbers that apply. We will investigate immediately and will reply as soon as possible.
